Affiliate Program Terms

PLEASE READ CAREFULLY. These Affiliate Program Terms ("Affiliate Terms") govern your participation in the Influencer Butler Affiliate Program. By submitting an affiliate application, accepting an approval, or promoting Influencer Butler in exchange for commissions, you agree to these Affiliate Terms in full. If you do not agree, do not participate in the program.

These Affiliate Terms supplement and are incorporated by reference into our Terms of Service, End-User License Agreement, and Privacy Policy. Defined terms not otherwise specified here have the meanings given in our Terms of Service. The "Company," "we," "us," or "our" refers to The Social Media Posse LLC. "You," "your," or "Affiliate" refers to you, the participant.

1) Program Overview

The Influencer Butler Affiliate Program lets approved Affiliates earn recurring commissions for referring paying customers to our software subscriptions. Referral tracking and commission accrual are performed by Influencer Butler's own first-party systems, and Influencer Butler pays Affiliate commissions directly (see Section 4). Subscription checkout and billing are processed by our payment processor, Lemon Squeezy, but Affiliate payouts, tax-form collection, and any tax reporting are handled by Influencer Butler.

2) Eligibility and Approval

a) You must be at least 18 years old (or the age of majority in your jurisdiction) and able to enter into a binding contract.

b) You must submit an application at influencerbutler.com/affiliates/apply and be approved by Influencer Butler. Approval is at our sole discretion and may be granted, declined, or revoked at any time, with or without cause.

c) Upon approval you are activated immediately: your branded promo code and tracked referral link are issued in your affiliate dashboard, and your referrals are tracked from that moment. To receive payouts, you must complete your tax certification form and provide a valid PayPal payout address in your dashboard (see Sections 4 and 5). You may promote and accrue commissions before doing so, but no payout is issued until both are on file.

d) Employees, contractors, and immediate family members of The Social Media Posse LLC are not eligible to participate as Affiliates without prior written consent.

3) Commission Structure

a) Rate. Approved Affiliates earn thirty percent (30%) of the net subscription revenue (after refunds and taxes) of every paying customer they refer.

b) Recurring for twelve months per customer. Commissions accrue on each paid period - monthly or annual - for the first twelve (12) months after the referred customer's first paid period. Once the referred customer has been a paying subscriber for twelve consecutive months, commission accrual on that customer ends, regardless of whether the customer continues to pay. There is no per-affiliate earning cap; the 12-month-per-customer window is the only commission expiration. Tier reductions are not applied during the 12-month window.

c) Attribution window. A 30-day attribution cookie is set when a user clicks your tracked link or applies your branded promo code. If a clicked user converts to a paying subscriber within 30 days, the resulting commissions are credited to you.

d) Last-click attribution. Where a customer clicks multiple Affiliate links before converting, the conversion is attributed to the most recent click within the 30-day window.

e) No discount stacking. A customer may apply either an Affiliate-tracked code (yours or another Affiliate's) or a site-wide welcome / promotional code at checkout - not both. When a customer arrives through an Affiliate link or applies an Affiliate-tracked code, any site-wide welcome promotional discount is suppressed at checkout in favor of the Affiliate code. Your commission is computed against the net amount actually charged after the applied discount.

4) Payouts

a) Payer. Influencer Butler pays Affiliate commissions directly. Payouts are made by PayPal to the PayPal account you designate in your affiliate dashboard.

b) Schedule. Payouts are issued monthly, generally on or around the first of each month, for the prior calendar month's earned commissions.

c) Minimum balance. A minimum unpaid balance of ten US dollars (US$10), subject to change, is required to trigger a payout. Balances below the minimum roll forward to the following month.

d) Payout method and PayPal details. You must keep a valid PayPal payout email on file in your dashboard. Commissions are paid in US dollars. It is your responsibility to keep your PayPal account in good standing and able to receive funds; we are not liable for a payout that fails, is delayed, is held, or is returned because of an invalid, unverified, restricted, or closed PayPal account.

e) Fees are not covered. Commissions are quoted and paid gross. PayPal receiving fees, currency-conversion (FX) fees, cross-border fees, and any other fees charged by PayPal or your financial institution to receive or convert the funds are your responsibility and are not covered or reimbursed by Influencer Butler. The amount that ultimately lands in your account may therefore be less than your gross commission.

f) Unclaimed or returned payouts. If a payout is unclaimed, denied, or returned by PayPal, the corresponding balance is treated as still owed and rolls forward, subject to the minimum-balance, refund, and clawback provisions, until it can be successfully paid to a valid account.

g) Disputes. Questions about a payout amount, timing, or a specific payment should be raised with us at hello@influencerbutler.com. Disputes about how PayPal itself processes or holds a transfer are between you and PayPal under PayPal's own user agreement.

5) Tax Forms and Reporting

a) Form collection. Because Influencer Butler pays you directly, we collect the applicable tax certification form from you in your affiliate dashboard before your first payout:

  • US individuals and entities: IRS Form W-9.
  • Non-US individuals: IRS Form W-8BEN.
  • Non-US entities: IRS Form W-8BEN-E.

You are responsible for submitting accurate, current, and complete tax information. You must promptly update your form in your dashboard when your taxpayer status, name, address, or tax classification changes. We may withhold payouts until a complete, verified form is on file.

b) Safeguarding your information. Your taxpayer identification number is encrypted at rest and access is restricted to authorized personnel for the sole purpose of tax reporting. See our Privacy Policy.

c) 1099-NEC issuance. US-resident Affiliates earning US$600 or more in commissions in a calendar year will receive an IRS Form 1099-NEC from Influencer Butler (The Social Media Posse LLC), in accordance with applicable US tax law.

d) Non-US withholding. If you are a non-US Affiliate, US federal income tax withholding may apply to your payouts. The applicable rate is determined by the tax treaty (if any) between the United States and your country of residence, as claimed on your W-8 form. Where withholding is required, we (or our tax provider) apply it and remit the amount to the US Internal Revenue Service, and your payout is reduced accordingly.

e) Your tax responsibility. You are solely responsible for reporting your commission earnings to your local tax authorities and for paying any income tax, value-added tax (VAT), goods-and-services tax (GST), self-employment tax, or other taxes due in your jurisdiction. Influencer Butler does not provide tax advice; consult a qualified tax professional for guidance specific to your situation.

6) Promotional Conduct

a) Honest promotion. You must promote Influencer Butler accurately and in good faith. Do not make false, deceptive, or misleading claims about the product, its features, pricing, results, or compatibility with third-party platforms.

b) FTC disclosure. You must comply with all applicable advertising-disclosure laws, including the US Federal Trade Commission's Guides Concerning the Use of Endorsements and Testimonials in Advertising (16 C.F.R. Part 255). Clearly and conspicuously disclose your affiliate relationship in every promotional post (e.g., "#ad," "affiliate link," "I earn a commission if you buy through this link"). The disclosure must be in a location and format that consumers will notice.

c) Other jurisdictions. If you promote in other jurisdictions, you must comply with that jurisdiction's local advertising disclosure rules - for example, the UK ASA CAP Code, EU UCPD, Australian ACCC guidance, Canada CASL - to the extent applicable to your promotion.

d) Personal endorsements. Only claim personal results or experiences with Influencer Butler that you have actually had. Testimonial and review content must reflect genuine experience.

7) Prohibited Conduct

You agree NOT to:

  • Bid on the Influencer Butler trademark, our brand name, common misspellings of our brand, or our domain name (in any case or punctuation variant) in paid search, display, social, retargeting, or any other paid-media platform.
  • Operate, list on, or post your affiliate links on coupon, promo-code, deal-aggregator, or cashback sites (including, without limitation, RetailMeNot, Honey, Rakuten, Slickdeals, and similar) without our prior written approval.
  • Use cookie stuffing, forced clicks, hidden iframes, pop-unders, automated clicking, or any other technique that artificially generates clicks or attributions.
  • Offer cash rebates, gift cards, points, lottery entries, or any other incentive to a third party in exchange for clicking your affiliate link or purchasing through it ("incentivized traffic"), without our prior written approval.
  • Misrepresent yourself as Influencer Butler, our employees, our customer support, or any other agent of the Company.
  • Send unsolicited email, SMS, or messaging-platform messages ("spam") promoting Influencer Butler. All email marketing must comply with the CAN-SPAM Act, CASL, GDPR, and any other applicable anti-spam laws in your audience's jurisdiction.
  • Use, register, or attempt to register any domain name, social handle, app name, or trademark that incorporates "Influencer Butler" or any confusingly similar variant.
  • Engage in self-referrals (creating a referral on your own account to earn a commission) or coordinated referral exchanges with other Affiliates.
  • Promote Influencer Butler to audiences under the age of 18 or in a manner directed at children.
  • Modify, obscure, or remove the affiliate identifier from tracked links.

Violations may result in immediate termination of your affiliate account, forfeiture of unpaid commissions, clawback of previously paid commissions found to have resulted from prohibited conduct, and legal action.

8) Branded Promo Codes

Upon approval, we may issue you a branded discount code (a sanitized form of your first name, e.g., "JOHN" or "JOHN2") that grants the referred customer a recurring discount for as long as their subscription remains active and credits the referral commission to you. The branded code is non-transferable. Your right to use the code terminates automatically upon termination of your affiliate account. Influencer Butler may revoke, suspend, or replace any branded code at any time.

9) Intellectual Property

a) Limited license. Subject to your compliance with these Affiliate Terms, we grant you a non-exclusive, non-transferable, revocable license to use the Influencer Butler name, logo, screenshots, product descriptions, and approved marketing assets solely to promote the product as an Affiliate.

b) No alteration. You may not modify the Influencer Butler logo or other brand assets except as permitted by our brand guidelines (if any). You may not create derivative trademarks or apply our marks to non-Influencer-Butler products or services.

c) Termination of license. Your license terminates immediately upon termination of your affiliate account. Within seven (7) days of termination, you must remove all Influencer Butler marks, screenshots, and affiliate links from any media within your control.

10) Refunds, Cancellations, and Clawbacks

a) When a referred customer's subscription is canceled, or when the customer reaches the 12-month commission window described in Section 3(b), commission accrual on that customer stops with the next billing cycle.

b) If a referred customer obtains a refund within our refund window (the standard refund window of the underlying transaction), the corresponding commission is reversed and deducted from your unpaid balance. If your unpaid balance is insufficient, the negative balance carries forward and is netted against future commissions.

c) Chargebacks, payment reversals, fraud claims, and bonus or trial-period adjustments reduce commissions on the same basis.

11) Termination

a) By you. You may terminate your participation at any time by notifying us at hello@influencerbutler.com or disabling your affiliate account in your dashboard. Unpaid commissions earned prior to termination, if any, will be paid out per the regular payout schedule, provided a valid tax form and PayPal address are on file.

b) By us. We may suspend or terminate your participation at any time, with or without cause, with or without notice. Causes for immediate termination include, without limitation, violation of these Affiliate Terms, fraudulent activity, abuse of the program, or material harm to our brand.

c) Effect of termination. Upon termination for cause, you forfeit any unpaid commissions and we may pursue clawback of prior commissions found to have resulted from prohibited conduct. Sections 5 (Tax Forms), 9 (Intellectual Property - license-termination provision), 10 (Refunds and Clawbacks), 12 (Confidentiality), 13 (Indemnification), 14 (Disclaimer; Limitation of Liability), 15 (Dispute Resolution), and 16 (Miscellaneous) survive termination.

12) Confidentiality

Any non-public information you receive from us in connection with the program - including but not limited to product roadmap, financial information, marketing strategy, internal documentation, beta-feature access, or admin tooling - is our Confidential Information. You agree not to disclose, publish, or use Confidential Information except as necessary to participate in the program in good faith.

13) Indemnification

You agree to defend, indemnify, and hold harmless The Social Media Posse LLC, its officers, directors, employees, contractors, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your participation in the Affiliate Program; (b) your breach of these Affiliate Terms; (c) your violation of any applicable law, regulation, or third-party right (including, without limitation, intellectual-property rights, privacy rights, and advertising-disclosure laws); and (d) any content you publish or distribute in connection with promoting Influencer Butler.

14) Disclaimer; Limitation of Liability

a) No guarantee of earnings. Commission earnings depend on factors outside our control, including the size and engagement of your audience, your promotional efforts, customer retention, and market conditions. We make no representation or warranty regarding the amount of commissions you may earn, and past performance of other Affiliates does not predict your results. Participation in the program is not guaranteed to continue, and the program may be modified or discontinued at any time under Section 16.

b) Service availability. The Affiliate Program, its dashboards, and its tracking infrastructure are provided "AS IS" and "AS AVAILABLE." We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant uninterrupted availability or perfect accuracy of tracking - tracking is subject to the limits of cookie-based attribution and the cooperation of third-party platforms.

c) Limitation of liability. To the maximum extent permitted by applicable law, our total cumulative liability to you arising out of or in connection with the Affiliate Program, whether in contract, tort, or otherwise, shall not exceed the greater of (i) the total commissions paid to you in the six (6) months preceding the event giving rise to the claim, or (ii) one hundred US dollars (US$100). In no event shall we be liable for indirect, incidental, consequential, special, punitive, or exemplary damages, including lost profits or lost referrals, even if advised of the possibility of such damages.

15) Dispute Resolution; Governing Law

a) These Affiliate Terms are governed by the laws of the State of Utah, USA, without regard to its conflict-of-laws principles.

b) Any dispute arising out of or related to these Affiliate Terms or the Affiliate Program shall be resolved exclusively in the state or federal courts located in Salt Lake County, Utah, and you and the Company each consent to the personal jurisdiction of those courts.

c) The dispute-resolution provisions in our Terms of Service, including any arbitration clause and class-action waiver, are incorporated by reference and apply to the Affiliate Program except as inconsistent with this Section 15.

16) Modification or Discontinuation of the Program

a) Modification of these terms. We may modify these Affiliate Terms at any time. Material changes will be posted to this page with an updated "Last Updated" date, and where reasonably practical, sent to your registered email. Your continued participation in the Affiliate Program after the effective date of changes constitutes acceptance. If you do not agree to the changes, your sole remedy is to terminate your participation.

b) Suspension or discontinuation of the program. We reserve the right, at our sole discretion, to suspend, limit, restructure, or discontinue the Affiliate Program in whole or in part - including changing or ending the commission rate, the 12-month commission window, the attribution rules, or the program itself - at any time, with or without cause, and with notice to your registered email where reasonably practical.

c) Effect of discontinuation. Upon discontinuation of the program (or of your participation in it under this Section), commission accrual stops as of the effective date, and no future, expectancy, or anticipated commissions are owed for any period after that date. Commissions already earned (accrued and unpaid) as of the effective date will be paid out in the ordinary course under Section 4, subject to the minimum-balance, refund, chargeback, and clawback provisions of these Affiliate Terms. The recurring and "12 months per referral" nature of commissions describes how commissions accrue while the program is in effect; it is not a guarantee that the program will remain available for any minimum period, and you acquire no vested right to continued participation or to future commissions.

17) Independent Contractor

You and the Company are independent contractors. Nothing in these Affiliate Terms creates a partnership, joint venture, agency, employment, or franchise relationship. You have no authority to make commitments, incur expenses, or accept obligations on behalf of the Company.

18) Notices

Notices to you under these Affiliate Terms may be delivered to the email address on your affiliate application or in your affiliate dashboard. Notices to the Company must be sent to hello@influencerbutler.com and to the address below.

19) Miscellaneous

a) Entire agreement. These Affiliate Terms, together with the documents incorporated by reference, constitute the entire agreement between you and the Company regarding the Affiliate Program and supersede any prior agreements.

b) Severability. If any provision is held unenforceable, the remaining provisions remain in full force.

c) No waiver. Our failure to enforce any right or provision is not a waiver of that right or provision.

d) Assignment; business transfer; change of control. You may not assign these Affiliate Terms without our prior written consent. We may assign these Affiliate Terms without restriction. In the event of a merger, acquisition, sale of all or substantially all of our assets, financing, reorganization, bankruptcy, or other change of control, we or our successor may, at our or its sole discretion, continue, assume, modify, wind down, or discontinue the Affiliate Program. A successor is not obligated to assume the program or any future-commission obligations, and may discontinue the program on the terms described in Section 16. You have no vested right to continued participation or to commissions beyond those already earned as of any discontinuation effective date. You consent to the transfer of your affiliate record and related data to a successor as part of any such transaction.
